Court Chooses Three-Year Average Cash Flow Over Single to Determine Value of Husband’s Business—Appellate Court Affirms

The court of appeals, in an Arizona divorce case, affirmed the decision of the Superior Court to accept the wife’s expert’s value of the husband’s business. The wife’s expert used a three-year look back average of cash flows, while the husband’s expert utilized the most current year’s cash flow.

Delaware Chancery Court Determines That Reducing Potential Personal Liability Exposure Through a Change in Corporate Domicile Constituted a Nonratable Benefit

Two minority shareholders challenged the conversion of two Delaware corporations into Nevada corporations with the intent to reduce potential liability for directors and officers, with the controlling shareholder casting the deciding vote. The business rule did not apply since the controller received a nonratable benefit.

Kentucky Appellate Court Affirms Selection of Valuation Date and Applies Known or Knowable Concept

The selection of a trial date in this case had further implications for the value of the husband’s business. An FDA investigation resulting in a large fine and impairment of the business was not known at the valuation date and thus was not allowed in determining the value of the business for marital estate purposes.

Ohio Appellate Court Remands for Determination of Efficacy of Projections in Determining Value and Orders Security From Husband for Equalization Payment to Wife

Once again, a court, in this case a state appellate court, questioned the efficacy of projections used to determine the value of a business using the income approach. The appellate court remanded the issue to determine whether a major assumption of the projections “failed.” Additionally, because of the size of the equalization payment, likely to be paid over a number of years, the appellate court ordered that the husband provide security for the equalization payment. This case highlighted the complexity of divorce proceedings involving high-value assets, the importance of credible valuations, and the need for appropriate safeguards in financial obligations.
